Gatekeepers Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Gatekeepers LLC ("Gatekeepers," "Company," "we," "us," or "our"), a Texas limited liability company, governing your access to and use of our websites, applications, and related services (the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Service Availability and Changes

We may update, modify, remove, or discontinue features of the Service at any time. Some features may change as we improve the Service.

Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract to use the Service. The Service is not intended for children under 13, and we do not knowingly collect personal information from children under 13.

Accounts and Security

Some features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

Ticketing Platform; Organizer Relationship

Gatekeepers provides a platform that allows event organizers to publish events and allows attendees to request or purchase tickets. Organizers are responsible for their events, including accuracy of listings, compliance with laws, venue rules, and attendee communications.

Purchases, Payments, Fees, and Communications (No Subscriptions)

We do not currently offer subscription plans. Fees, if any, are presented at the time of purchase or in the organizer dashboard.

Payment processing for ticket purchases is handled by Stripe. Gatekeepers does not store full payment card numbers. We may store and process transaction metadata (such as payment identifiers, amount, currency, and status) to confirm payment and deliver tickets.

Refunds and chargebacks are handled according to the organizer's policies and applicable law, and may also be subject to Stripe's terms and processes.

Gatekeepers' service fee (platform fee) is non-refundable, including if an event is cancelled, whether paid by the attendee at checkout or deducted from the organizer's payout, except where required by law.

If you choose to provide a mobile phone number, you may also be offered separate options to consent to text messages for specific purposes, such as transactional or event logistics updates and, separately, marketing or promotional messages. Marketing consent is voluntary and is not a condition of purchase. You are responsible for providing a phone number you are authorized to use and for honoring applicable opt-out choices.

Acceptable Use

You agree not to:

• Use the Service for unlawful purposes or in violation of applicable law.
• Interfere with or disrupt the Service or attempt to gain unauthorized access.
• Circumvent access controls, scanner limits, or anti-abuse systems.
• Upload, post, or transmit content that infringes rights, is illegal, or is harmful.
• Collect or harvest personal information from the Service without consent.

User Content and License

You may be able to submit content (including event listings, images, and other materials) ("User Content"). You retain ownership of your User Content. You grant Gatekeepers a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content solely as necessary to operate, provide, and improve the Service and as otherwise permitted by you.

You represent that you have the rights needed to submit User Content and that it does not violate law or third-party rights.

Intellectual Property

The Service, including its software, design, and all non-User Content, is owned by Gatekeepers or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes and personal use, in each case in connection with the Service.

Third-Party Services

The Service integrates with third-party services (for example, Clerk for authentication, Stripe for payment processing, Mixpanel for product analytics, Sentry for error monitoring, Resend for email delivery, and communications providers we may use for email or text messaging). Your use of those services may be subject to their terms and privacy policies.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATEKEEPERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) USD $50 OR (B) THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Gatekeepers and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your User Content, or (c) your violation of these Terms or applicable law.

Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you violated these Terms or if necessary to protect the Service, users, or third parties. You may stop using the Service at any time.

Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to personal jurisdiction there.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance.

Additional Terms for This Application

These app‑specific terms supplement and clarify the Terms and Conditions above. If there is a conflict, these terms govern for the relevant feature.

Tickets, QR Codes, and Scanner

• You may not copy, tamper with, share, resell, or reuse tickets or QR codes. Attempts to bypass access controls or rate limits are prohibited.
• Camera access is used solely to scan tickets in your browser. You agree not to automate scanning in a way that degrades or interferes with the Service.

Organizer Responsibilities

• Organizers are solely responsible for event content, compliance, permits, and attendee communications (including cancellations and schedule changes).
• Organizers must use attendee data only for event‑related purposes and in compliance with applicable laws. Unrelated marketing requires appropriate consent.
• If organizers collect or use attendee phone numbers for text messaging, they must obtain and honor any consent required by applicable law, keep transactional and marketing purposes separate where required, and honor opt-out requests.

DMCA and Reporting

If you believe content on the Service infringes your copyright or violates our policies, contact support@gatekeepers.app with a description of the content, its location, and your contact information. We may remove or disable access to content pending review.
