Gatekeepers Terms and Conditions

1. Introduction and Acceptance of Terms

These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you,” “your” or “User”) and Gatekeepers (“Company,” “we,” “us,” or “our”). By accessing or using our website, mobile application, API, and other services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use the Service. We may modify these Terms at any time. If we make material changes, we will post the updated Terms and indicate the date they were last revised. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Description of the Service

Gatekeepers provides a digital platform for accessing information, content, and tools that help users connect with communities, resources and services. The Service may include text, graphics, audio, video, software and other content and may allow you to submit your own content. We reserve the right to modify or discontinue the Service or any part of it at any time without notice.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. The Service is not intended for children under 13, and we do not knowingly collect information from children under 13. By using the Service, you represent that you meet these eligibility requirements.

4. Account Registration and Security

Certain features of the Service may require you to create an account. You agree to provide accurate, current and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We may suspend or terminate your account if we believe you have violated these Terms.

5. User Conduct

You agree to use the Service only for lawful purposes. You will not:

  • Violate any applicable law or regulation.
  • Infringe any intellectual property or other proprietary rights.
  • Post, upload, transmit or otherwise distribute content that is unlawful, harmful, defamatory, threatening, harassing, abusive, obscene or otherwise objectionable.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.
  • Collect or harvest personally identifiable information from the Service without consent.

6. Intellectual Property and Ownership

All content and materials provided through the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads and software, are the property of Gatekeepers or its licensors and are protected by copyright, trademark and other laws. We grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your personal, non‑commercial purposes, provided that you comply with these Terms. Except as expressly permitted by these Terms, you may not copy, reproduce, republish, upload, post, transmit, distribute, modify, make derivative works of, sell or otherwise exploit any portion of the Service without our prior written consent.

7. User Content

If you submit or share content through the Service (“User Content”), you retain ownership of that content. By submitting User Content, you grant Gatekeepers a worldwide, perpetual, irrevocable, royalty‑free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display and perform your User Content in connection with operating and providing the Service. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any rights of any third party.

8. Payment and Subscriptions

Some features of the Service may require payment of fees or subscriptions. If applicable, we will provide you with information about pricing and billing before you incur charges. You agree to pay all fees and taxes associated with your use of paid features. Payment terms may include recurring subscription fees; if so, you authorize us to charge your payment method on a recurring basis until you cancel. You are responsible for updating your payment information to ensure payments are processed. We reserve the right to change our fees at any time, subject to applicable law and notice requirements.

9. Third‑Party Services and Links

The Service may contain links to third‑party websites, services or resources that are not owned or controlled by Gatekeepers. We do not endorse or assume any responsibility for these third parties. Your interactions with third‑party services are solely between you and the third party, and you should review the terms and policies of any third‑party site you visit. Gatekeepers is not responsible for any damages or losses arising from your use of third‑party services.

10. Disclaimers

The Service and all content provided through it are offered on an “as is” and “as available” basis. A disclaimer of warranties clause typically begins with “as is” and “as available” language to establish that users cannot hold the provider liable if they encounter problems when using the service. To the fullest extent permitted by law, we expressly disclaim all warranties and representations, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non‑infringement. Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, timely, secure, or free of errors, viruses or other harmful components; nor do we warrant that any information or content obtained through the Service is accurate or complete. You use the Service at your sole risk.

11. Limitation of Liability

To the maximum extent permitted by law, Gatekeepers and its officers, directors, employees, agents, licensors and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use or alteration of your transmissions or content. It is common for limitation‑of‑liability clauses to list types of damages—such as direct, indirect, consequential, special and punitive damages—that are excluded. In no event will our total liability to you exceed the greater of fifty U.S. dollars (USD $50) or the amount you paid us in the past twelve months for the Service.

12. Indemnification

You agree to defend, indemnify and hold harmless Gatekeepers and its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party. Indemnification clauses require one party to compensate the other for losses, damages or liabilities incurred due to specific events such as third‑party claims.

13. Confidentiality

If the Service enables the exchange of confidential information (for example, through direct messaging or business tools), both parties agree to take reasonable measures to protect the confidentiality of such information and not to disclose it to any third party except as required by law. Contracts often include confidentiality terms obliging each party to safeguard the other’s confidential data.

14. Governing Law and Jurisdiction

These Terms and any dispute arising from or relating to them will be governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Every contract should specify which state’s laws will govern the agreement and where disputes will be resolved. You agree that any action or proceeding relating to or arising out of these Terms will be brought in the state or federal courts located in Bexar County, Texas, and you consent to the exclusive jurisdiction of such courts.

15. Dispute Resolution

In the event of any dispute, claim or controversy arising out of or relating to the Service or these Terms, the parties agree to first attempt to resolve the matter informally by contacting each other. If the dispute is not resolved within thirty (30) days, either party may initiate mediation in San Antonio, Texas. If mediation is unsuccessful, the parties agree to submit to the exclusive jurisdiction of the courts specified in the Governing Law section. Including dispute‑resolution terms in a contract helps avoid uncertainty and can save time and costs.

16. Termination

We may suspend or terminate your access to the Service, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Termination clauses should define the notice period, procedure for giving notice and obligations of each party upon termination. If you wish to terminate your account, you may do so at any time by contacting us or closing your account through your settings. The provisions of these Terms that by their nature should survive termination will remain in effect (including ownership, warranty disclaimer, indemnity and limitation of liability).

17. Force Majeure

We will not be liable for any failure to perform our obligations under these Terms where the failure results from any cause beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labour disputes, governmental actions, failure of telecommunications or information services infrastructure or other force‑majeure events. A force‑majeure clause excuses contractual performance when extraordinary events beyond the parties’ control occur.

18. Changes to the Terms

We may update these Terms at any time. We will notify you of changes by posting the updated Terms on the Service and updating the “Last Updated” date. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should discontinue use of the Service.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms constitute the entire agreement between you and Gatekeepers regarding your use of the Service and supersede all prior or contemporaneous agreements, communications and proposals, whether oral or written.

These app‑specific terms supplement and clarify the Terms and Conditions above. If there is a conflict, these terms govern for the relevant feature.

On‑Chain and Third‑Party Payments

  • Payments may be facilitated by Thirdweb or other providers. Blockchain transactions can be irreversible, and network fees (gas) may apply. You are responsible for sending funds to the correct address and for any applicable fees.
  • Gatekeepers does not custody funds and is not responsible for blockchain network conditions, congestion, forks, or finality issues.
  • We may record transaction metadata (e.g., transaction hash, chain ID, payment status, amount) to validate payment and fulfill ticket delivery.

Tickets, QR Codes, and Scanner

  • You may not copy, tamper with, share, resell, or reuse tickets or QR codes. Attempts to bypass access controls or rate limits are prohibited.
  • Camera access is used solely to scan tickets in your browser. You agree not to automate scanning in a way that degrades or interferes with the Service.

Organizer Responsibilities

  • Organizers are solely responsible for event content, compliance, permits, and attendee communications (including cancellations and schedule changes).
  • Organizers must use attendee data only for event‑related purposes and in compliance with applicable laws. Unrelated marketing requires appropriate consent.

Service Dependencies

The Service relies on third‑party providers (e.g., Clerk, Thirdweb, Sentry, Umami, Resend, Google Places). Availability may be affected by outages or changes outside our control.

DMCA and Reporting

If you believe content on the Service infringes your copyright or violates our policies, contact support@gatekeepers.app with a description of the content, its location, and your contact information. We may remove or disable access to content pending review.
